Licence Agreement & Policies

Plain-English summary (the agreement below is what governs): you buy a licence to use Hoides Matte, one seat per machine, transferable whenever you like. You own everything you create with it. We don’t collect your footage — it never leaves your computer. Try it free for 7 days before you decide.

End User Licence Agreement

This Agreement is between you (“you”, the “Licensee”) and Hoides (“we”, “us”, the “Licensor”) for the Hoides Matte software, its models, documentation and updates (the “Software”). By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Licence granted

We grant you a non-exclusive, non-transferable (except as in §4), perpetual licence to install and use the Software for commercial or personal work, subject to this Agreement and to the number of seats you purchased.

One seat = one machine. Each licence key activates on a single computer, identified by a machine fingerprint.
You may install the Software on additional machines only by purchasing additional seats.
A licence is perpetual for the version series you bought (v1.x). It does not expire and does not require a subscription.

2. Free trial

The Software includes a 7-day evaluation period, fully featured, starting on first use. When the trial ends the Software stops producing usable output until a valid licence key is entered. The trial is for evaluation; output produced during it may be used commercially.

3. What you may not do

Share, publish, resell or sub-licence your licence key.
Reverse engineer, decompile or disassemble the Software, or circumvent its licensing, except to the extent that such restriction is prohibited by applicable law.
Remove or alter any proprietary notices.
Redistribute the Software or its models as part of another product.

4. Moving a licence

You may move a seat between machines. Deactivate on the old machine, then activate on the new one. If a machine is lost, replaced or reinstalled, contact us and we will re-issue.

5. Your work

You own all mattes, mask sequences and other output you create with the Software. We claim no rights over your footage or your output.

6. Updates

Updates within the version series you purchased (v1.x) are included at no extra cost. A future major version (v2 or later) may be a separate purchase.

7. Warranty disclaimer

The Software is provided “as is”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or that its output will meet any particular standard of accuracy.

8. Limitation of liability

To the maximum extent permitted by law, our total liability under this Agreement is limited to the amount you paid for the licence. We are not liable for indirect, incidental, special or consequential damages, including lost profits, lost data, or missed deadlines, arising from use of or inability to use the Software.

Nothing in this Agreement excludes liability that cannot lawfully be excluded, and this section does not affect your statutory consumer rights.

9. Termination

This licence terminates automatically if you materially breach it. On termination you must stop using and remove the Software. Output you already created remains yours.

10. Governing law

This Agreement is governed by the laws of India, without regard to conflict-of-law rules. (Confirm this matches where your business is registered.)

Privacy

Hoides Matte is designed so that your footage never leaves your machine.

Your images and video are never uploaded. All AI models run locally on your GPU. The Software makes no network call that contains image data.
Licence activation is the only network request the Software makes. It sends your licence key and a machine fingerprint (a one-way hash derived from hardware identifiers — not your name, files or location) and receives a signed licence in return. After activation the Software works fully offline.
No analytics or telemetry are collected by the Software.
Purchase data (name, email, billing details) is handled by our payment provider acting as merchant of record; we receive only what is needed to issue and support your licence. We do not sell or share it.
Support email you send us is kept only as long as needed to resolve your issue. Ask us and we will delete it.
